The Management Board of XTPL S.A. (the "Issuer", the "Company", "XTPL")hereby reports that on December 22, 2025 the Company entered into acontract manufacturing agreement for Delta Printing System ("DPS")devices with Tech Group AS, headquartered in Estonia (the "Partner","Tech Group").

Tech Group is an Estonian engineering company that has beenmanufacturing custom-built, special-purpose machinery since 2003. Thecompany specializes in testing, assembly, and processing equipment forthe electronics, photonics, automotive, and other high-precisionindustries, cooperating with leading European technology companies. Itsengineering and production teams provide end-to-end solutions, rangingfrom co-development and prototyping to serial production. Tech Groupemploys 150 highly qualified specialists.

The conclusion of the agreement is a direct result of the implementationof the Company's Strategy (Current Reports No. 54/2023 of November 22,2023 and 27/2025 of September 25, 2025), which focuses on deploying UPDtechnology on industrial production lines of global electronicsmanufacturers. Cooperation with a partner allows for flexible increasesin production capacity in the area of DPS without incurring fixed costs.At the same time, outsourcing the production of DPS devices to anexternal partner will enable XTPL to reallocate internal resourcestoward the manufacture of a higher number of UPD modules and DPS+devices, for which the Company expects growing sales in 2026. Theagreement will also have a positive impact on working capitalmanagement, reducing the need to maintain high inventory levels and tosecure key components.

The final decision to enter into the cooperation was preceded by asix-month testing and validation period, which included the jointmanufacturing of a DPS unit, followed by its independent preparation byTech Group, and concluded with a positive validation outcome.

Ultimately, over a 2-3 year horizon, Tech Group's production is expectedto cover 100% of the Company's demand for DPS devices.

Accordingly, for the reasons described above, in the Management Board'sopinion the information disclosed in this current report meets thecriteria of inside information within the meaning of Article 7(1) MAR.
