As stated in our Public Disclosure Platform ("PDP") disclosure dated 13.04.2023, for the purpose of transferring Merit Park Hotel & Casino ("Hotel"), which is within the body of our Company's subsidiary Akfen Gayrimenkul Ticareti ve İnşaat A.Ş. ("Akfen GT") and which will be transferred to Merit Kıbrıs Turizm Ltd. pursuant to the contract mentioned in our aforementioned disclosure, it was decided to transform Akfen GT into a special purpose company related to the Hotel and to carry out the transaction in the form of share transfer. In this context, the divestment of Akfen GT in such a way that only the Hotel will remain within its structure has been completed and the 78,83% shares of Akfen Karaköy Gayrimenkul Yatırımları ve İnşaat Anonim Şirketi have been transferred to the newly established Akfen Güney Gayrimenkul İşletme Anonim Şirketi through the division and the shares of our subsidiaries in Russia have been transferred to the newly established Akfen Kuzey Gayrimenkul İşletme Anonim Şirketi through the aforementioned division. Our new subsidiary structure formed after the demerger can be seen in the Information on Subsidiaries, Financial Fixed Assets and Financial Investments section under the General Information tab in PDP.
The procedure for the sale of Akfen GT with only Merit Park Hotel & Casino remaining in its current form is in progress and the developments will be shared separately.
