With the resolutions of the Board of Directors of our Company dated 24.07.2023 and numbered 2023/21 and dated 31.07.2023 and numbered 2023/23, it has been resolved that Fıratcan İnşaat Turizm ve Ticaret A. Ş. ("Fıratcan"), which was decided to merge with our Company pursuant to Articles 134 and following articles of the Turkish Commercial Code, Articles 18, 19 and 20 of the Corporate Tax Law, the Capital Markets Board's "Communiqué on Merger and Demerger" (II-23.2) and other relevant legislation provisions, Fıratcan will remain as a special purpose company. In addition Fıratcan which was decided to be merged with our Company, Fıratcan will keep open for evaluation in more and different commercial transactions, will facilitate cooperation with possible strategic partners, may not create the need for an operating company and since its investment is ongoing, it has been decided not to carry out the merger transaction at this stage.
