On 08.08.2024, two separate lease agreements were signed between Fıratcan and Akfen Turizm Yatırımları ve İşletmecilik A. Ş. ("Akfen Turizm") for the operation of the food and beverage, cultural facilities and service areas being developed on block 3478, parcel 1 and block 3479, parcels 1 and 2 within the scope of the Söğütlüçeşme Tren İstasyonu Yüksek Hızlı Tren Garı project in Kadıköy, Istanbul, within the 100% subsidiary of our Company, Fıratcan İnşaat Turizm ve Ticaret A.Ş. ("Fıratcan"). Ş. ("Akfen Turizm") on 08.08.2024 for the operation of the food and beverage, cultural facilities and service areas being developed on Block 3478, Block 1 and Block 3479, Block 1 and Block 2.

The annual rent for 3478 block 1 parcel is EUR 7 Million + VAT, the annual rent for 3479 block 1 and 2 parcels is EUR 1 Million + VAT and the total annual rent is EUR 8 Million + VAT.

In addition to the rent to be paid by Akfen Turizm, Akfen Turizm will make all necessary investment and organization to make the areas to be delivered shell&core by Fıratcan as mentioned in the contract turnkey and ready for operation at its own expense.

Akfen Turizm will make the lease payment for the first year on a deferred basis. Accordingly, 50% of the rent will be paid on 01.07.2025 and the remaining balance will be paid on 01.12.2025. In the following years, rent increase will be applied at the rate of "Eurozone Consumer Price Index for All Items" for the previous year published by EUROSTAT and rent payments will be made monthly, in advance.

It is expected that the rental income to be obtained by our subsidiary within the scope of the aforementioned contract will make a significant contribution to the sustainable and predictable revenues of our Company.
