At the meeting of our Company's Board of Directors dated 14.11.2024, it was resolved to sell 25,611,697 shares in total in Akfen Karaköy Gayrimenkul Yatırımları ve İnşaat A.Ş., which is owned by our Company. It has been unanimously resolved to sell all of the shares to Akfen Güney İşletme A.Ş., a 100% subsidiary of our Company, at a unit price of TL 28.61 as determined by the valuation report dated 14.11.2024 prepared by Karar Bağımsız Denetim ve Danışmanlık A.Ş., which is included in the Capital Markets Board's list of Institutions Authorized to Value Assets Other than Real Estate.

The English translation of this disclosure is attached herewith, and in case of any discrepancy in the texts of the disclosure, the Turkish disclosure shall prevail.
