It was previously announced to the public that the Board of Directors of our subsidiary Alarko Tarım Sanayi ve Ticaret A.Ş. decided;
to acquire 400.000 shares of Gürlük Jeotermal Enerji Tarım Seracılık Gıda Sanayi ve Ticaret Anonim Şirketi with the total nominal value of TRY 400.000 in consideration of TRY 75.468.000,00.

As per the meeting dated 10.07.2023 of the Board of Directors, it has been decided to acquire all shares (100%) of Gürlük Jeotermal Enerji Tarım Seracılık Gıda Sanayi ve Ticaret Anonim Şirketi in consideration of Turkish Lira equivalent of USD 9.830.000,00, to deduct the advance payment of TRY 75.468.000,00 which has been paid before for the purchase of shares with the total nominal value of TRY 400.000 from the determined share purchase price and on the same date the share purchase transaction has been carried out.

Gürlük Jeotermal Enerji Tarım Seracılık Gıda Sanayi ve Ticaret Anonim Şirketi shares of which have been acquired and its fully owned subsidiaries Albi Bitkisel İlaç Ham Maddeleri Üretim Sanayi ve Ticaret Anonim Şirketi, Alpark Jeotermal Sağlık Turizm ve Depoculuk Anonim Şirketi, Alurla Jeotermal Sağlık ve Turizm Anonim Şirketi and Hak Gayrimenkul Tarım Sanayi ve Ticaret Anonim Şirketi have under their possession (i) geothermal resource exploration license for 2925.03 hectare land in Burdur province, Kemer district, (ii) geothermal resource exploration license for 1810.61 hectare land in Tekirdağ province Hayrabolu district, (iii) geothermal resource exploration license for 2836.65 hectar land in Afyonkarahisar province Merkez district, (iv) geothermal resource exploration license for 806.04 hectare land in Afyonkarahisar province Sandıklı district, (v) geothermal resource exploration license for 4334.28 hectare land in Balıkesir province Bigadiç district, (vi) geothermal resource exploration license for 1034.12 hectare land in Eskişehir province Mahmudiye district, (vii) geothermal resource operation license for 2265.65 hectare land in Eskişehir province Mahmudiye district, (viii) total of approximately 180.000,00 m2 land located in Afyonkarahisar province Sandıklı district, (ix) Participant Right for gross 20.000,00 m2 land located in the Biotechnology Valley which was established by Biotechnology Industrialists Association.
