It was priorly announced to the public that a term sheet has been signed on 14/07/2023 between our subsidiary Alarko Tarım Sanayi ve Ticaret A.Ş. and Halil Pekdemir Çiftliği Gıda ve İhtiyaç Maddeleri Ticaret ve Sanayi Limited Şirketi ("Pekdemir").;

with the purpose of acquiring the shares of the company to be established through partial division of Pekdemir.

A Share Purchase Agreement has been signed on 04/08/2023 to acquire all shares (100%) of Alden Jeotermal Tarım Gıda Sanayi ve Ticaret Anonim Şirketi, which has been established through partial division of Pekdemir, in consideration of Turkish Lira equivalent of USD 12.269.500,00 (twelve million two hundred sixty nine thousand five hundred United States Dollars) and to deduct the Turkish Lira equivalent of USD 2.000.000,00 (two million United States Dollars) which has been paid in advance from the determined share purchase price. Share purchase transaction has been carried out on the same date.

Alden Jeotermal Tarım Gıda Sanayi ve Ticaret Anonim Şirketi, shares of which has been acquired; owns approximately 310.000 m2 land including approximately 120.000 m2 greenhouse and has the right of use for two geothermal hot water wells that are based on geothermal resource operation license for 8253.75 hectare area in Denizli province, Sarayköy district which is valid until 15/09/2041.
