It was priorly announced to the public that; a share purchase agreement has been signed on 13.09.2023, by our subsidiary Alarko Tarım Sanayi ve Ticaret Anonim Şirketi regarding the acquisition of 80.000 shares with the total nominal value of TRY 80.000,00 representing 80% of the capital of Genseed Tohum Islah ve Üretim Anonim Şirketi, in consideration of Turkish Lira equivalent of USD 3.720.241,05, provided that determined closing conditions are satisfied and that pursuant to the share purchase agreement, predetermined share purchase price will be subject to certain adjustments on the closing date and that final share purchase price will be disclosed once it is determined.

As a result of the negotiations between the parties and certain adjustments, it has been decided to determine the final share purchase price as Turkish Lira equivalent of USD 4.277.725,00, and to deduct the Turkish Lira equivalent of USD 1.000.000,00 which has been paid as advance from the final share purchase price. In this regard, as of 27.10.2023, 80.000 shares with the total nominal value of TRY 80.000,00 representing 80% of the capital of Genseed Tohum Islah ve Üretim Anonim Şirketi, have been acquired by our subsidiary Alarko Tarım Sanayi ve Ticaret Anonim Şirketi.
