It was priorly announced to the public that; a share purchase agreement has been signed on 08.01.2024 by our subsidiary Alarko Tarım Sanayi ve Ticaret Anonim Şirketi regarding the acquisition of 600 shares with the total nominal value of TRY 15.000,00 representing 25% of the capital of Sanrose Tarım Sanayi Ticaret Anonim Şirketi, which has its main activity in the area of agriculture and greenhouse, in consideration of Turkish Lira equivalent of USD 5.000.000,00 provided that determined closing conditions are satisfied and that pursuant to the share purchase agreement, predetermined share purchase price will be subject to certain adjustments on the closing that and that final share purchase price will be disclosed once it is determined.

As a result of the certain adjustments made in accordance with the share purchase agreement, it has been decided to determine the final share purchase price as Turkish Lira equivalent of USD 4.645.180,00 and to deduct the Turkish Lira equivalent of USD 1.500.000,00 which has been paid in advance from the final share purchase price. In this regard, as of 15.01.2024, 600 shares with the total nominal value of TRY 15.000,00 representing 25% of the capital of Sanrose Tarım Sanayi Ticaret Anonim Şirketi, have been acquired by our subsidiary Alarko Tarım Sanayi ve Ticaret Anonim Şirketi.
