oda_ExplanationTextBlock|		Bağlı Ortaklığımız Alarko Tarım Sanayi ve Ticaret A.Ş. tarafından, tarım ve seracılık sektöründe faaliyet gösteren bir şirketin satın alımına yönelik bir ön protokol ("Ön Protokol") imzalandığı daha önceden kamuoyuna duyurulmuştu. Ön Protokol'e konu İpeks Jeotermal Enerji Tarım Sanayi Ticaret Anonim Şirketi'nin ("İpeks Jeotermal") planladığı yaklaşık 182.000 m2 yüzölçümlü sera inşaatı yatırımı sebebiyle duyduğu finansman ihtiyacı göz önüne alındığında; (i) İpeks Jeotermal'in sermayesini 1.500.000 TL'den 3.000.000 TL'ye arttırmayı planladığı emisyon primli sermaye artırımına iştirak edilmesine, (ii) Sermaye artırımı ile ihraç edilecek ve İpeks Jeotermal'in toplam sermayesinin %49'una tekabül edecek 1.470.000 TL nominal değerli 1.470 adet payın 297.000.000 TL tutarında emisyon primi dahil olmak üzere toplam 298.470.000 TL bedelle edinilmesine, (iii) Ön Protokol'ün feshedilerek Alarko Tarım Sanayi ve Ticaret A.Ş. ile mevcut hissedar Lokman Aydemir arasında bu hususta bir iştirak sözleşmesi ve hissedarlar sözleşmesinin imzalanmasına, karar verilmiştir. İpeks Jeotermal'in Maliye Hazinesi adına kayıtlı olan Afyonkarahisar ili Merkez ilçesinde 265.007,24 m2 yüzölçümlü taşınmaz üzerinde jeotermal kaynaklı teknolojik sera yapımı amacıyla 27/03/2043 tarihine kadar geçerli olmak üzere tesis edilmiş irtifak hakkı bulunmaktadır. It was priorly announced to the public that, a memorandum of understanding ("MoU") has been signed by our subsidiary Alarko Tarım Sanayi ve Ticaret A.Ş. for the acquisition of a company operating in the area of greenhouse and agriculture. Considering the financing need of İpeks Jeotermal Enerji Tarım Sanayi Ticaret Anonim Şirketi ("İpeks Jeotermal"), the subject company of the MoU, due to the planned investment of approximately 182,000 m2 greenhouse construction, it has been decided; - to participate in the premium capital increase of İpeks Jeotermal which plans to raise its capital from TRY 1,500,000 to TRY 3,000,000, - to acquire 1,470 shares with the nominal value of TRY 1,470,000, which will be issued through the capital increase and will correspond to the 49% of the capital of İpeks Jeotermal, for a total consideration of TRY 298,470,000, including the share premium of TRY 297,000,000 and - to sign a participation and a shareholders' agreement between Alarko Tarım Sanayi ve Ticaret A.Ş. and the current shareholder Lokman Aydemir and to terminate the MoU. İpeks Jeotermal holds the right to use 265,007.24 m2 land located in the central district of Afyonkarahisar province, registered under the name of State Treasury, until the date of 27/03/2043, for the purpose of constructing a technological geothermal greenhouse.
