Bağlı Ortaklığımız Alsera Jeotermal Tarım Gıda Sanayi ve Ticaret A.Ş. Yönetim Kurulunun 24.09.2024 tarihli kararı uyarınca;

Tarım ve seracılık alanında faaliyet gösteren Camser Tarım Gıda Anonim Şirketi'nin sermayesini 3.416.000 TL'den 7.000.000 TL'ye arttıracağı emisyon primli sermaye artırımına iştirak edilmesine,

sermaye artırımı ile ihraç edilecek ve şirketin toplam sermayesinin %51'ine tekabül edecek 3.570.000 TL nominal değerli 3.570 adet payın 26.430.000 TL tutarında emisyon primi dahil olmak üzere toplam 30.000.000 TL bedelle edinilmesine,

bu hususta iştirak sözleşmesi ve hissedarlar sözleşmesinin imzalanmasına,

karar verilmiştir.

Camser Tarım Gıda Anonim Şirketi'nin Afyonkarahisar ili Sandıklı ilçesinde yaklaşık 39.854 m2 yüzölçümlü kısmında sera kurulu olan toplamda 56.708 m2 yüzölçümlü taşınmazı bulunmaktadır.

As per the Resolution dated 24.09.2024 of the Board of Directors of our subsidiary Alsera Jeotermal Tarım Gıda Sanayi ve Ticaret A.Ş. it has been decided;

to participate in the premium capital increase of Camser Tarım Gıda Anonim Şirketi, a company operating in the field of agriculture and greenhouse farming, which plans to raise its capital from TRY 3.416.000 to TRY 7.000.000,

to acquire 3.570 shares with the nominal value of TRY 3.570,000, which will be issued through the capital increase and will correspond to the 51% of the capital, for a total consideration of TRY 30.000.000, including the share premium of TRY 26.430.000 and

to sign a participation and a shareholders' agreement in this regard.

Camser Tarım Gıda Anonim Şirketi has total of 56.708 m2 land located in Afyonkarahisar province Sandıklı district which comprises of approximately 39.854 m2 established greenhouse.
