Şirketimiz tarafından 5 Haziran 2024 tarihinde Anadolu Isuzu Otomotiv Sanayii ve Ticaret A.Ş. ile Özbekistan Cumhuriyeti Devlet Varlık Yönetim Ajansı ("Ajans") arasında; merkezi Taşkent ve üretim tesisi Semerkant, Özbekistan'da mukim araç üreticisi JV SamAuto LLC. Şirketi'ne ("Şirket") ilişkin olarak, Şirket'in çoğunluk hisselerini devralma imkanlarını tahlil etmek ve bu kapsamda gerekli çalışmaları yürütmek üzere Mutabakat Zaptı (Memorandum of Understanding) imzalandığı duyurulmuştu.

Şirketimiz tarafından 1 Kasım 2024 tarihinde yapılan bildirimde ise Şirket'in çoğunluk hisselerini devralmaya yönelik bağlayıcı bir teklif vermek üzere detaylı finansal, hukuki ve vergisel inceleme çalışmalarının başlandığı bildirilmişti.

Gelinen aşamada, Şirket sermayesinin %75,2'sine kadar temsil eden payların satın alınmasına yönelik Özbekistan Cumhuriyeti Devlet Varlık Yönetim Ajansı'na teklif yapılmıştır.

Sürecin devamı ile ilgili gelişmeler oldukça kamuoyuna gerekli açıklamalar yapılacaktır.

It was announced by our Company on June 5, 2024 that a Memorandum of Understanding was signed between Anadolu Isuzu Otomotiv Sanayii ve Ticaret A.Ş. and the State Assets Management Agency of the Republic of Uzbekistan ("Agency") in order to analyze the possibilities of acquiring the majority shares of the Company and to carry out the necessary studies in this context regarding the vehicle manufacturer JV SamAuto LLC. Company ("Company"), headquartered in Tashkent and production facility in Samarkand, Uzbekistan.

In the notification made by our Company on November 1, 2024, it was reported that the detailed financial, legal and tax examination studies were initiated in order to make a binding offer for the acquisition of the majority shares of the Company.

At this stage, an offer has been made to the State Assets Management Agency of the Republic of Uzbekistan for the purchase of shares representing up to 75.2% of the Company's capital.

Necessary public announcements will be made as developments regarding the continuation of the process unfold.
