With the Board of Directors Resolution dated April 15, 2025;

It was unanimously resolved to publish the conclusion section of the report which is prepared by Güreli Yeminli Mali Müşavirlik  ve Bağımsız Denetim Hizmetleri  A.Ş. with respect to the terms and conditions of the transactions which are common and of a continuous nature between the Company and its subsidiaries and related parties and comparing these transactions with market conditions and expected to reach during 2025 and 10% or more of the cost of sales or revenues stated in the publicly disclosed 2024 annual financial statements of the Company.

As a result of the evaluation made as per paragraph 3 Article 10 of the Capital Markets Board's "Corporate Governance" communiqué (II.17.1), by taking into account also the work undertaken by the Independent Audit Firm with respect to those transactions which are common and of a continuous nature between Anadolu Isuzu and Isuzu Motors Limited(Tokyo), Itochu Corporation (Tokyo) and its subsidiaries Isuzu Motors International Operations (Thailand) and expected to reach during 2025 and 10% or more of the cost of sales or revenues stated in the publicly disclosed 2024 annual financial statements of the Company. It is concluded that; the transaction conditions of purchasing a brand-specific engine, undercarriage and other parts and manufactured vehicles for production purposes which are contemplated to be made by and between Anadolu Isuzu and Isuzu Motors Limited (Tokyo), Itochu Corporation (Tokyo) and its subsidiaries Isuzu Motors International Operations (Thailand) and sales which are expected to be made to Anadolu Isuzu in 2025 shall be consistent with the transactions of previous years and at arm's length when compared with market conditions.

The English translation of this disclosure is provided and in case of any discrepancy between the Turkish and the English versions of this disclosure, the Turkish version shall prevail.
