Within the scope of the Company's Articles of Association, Capital Markets Law No. 6362 ("CMB Law"), Turkish Commercial Code No. 6102 ("TCC"), Dividend Communiqué No. II-19.1 ("Dividend Communiqué"), Corporate Governance Communiqué No. II-17.1 and related legislation and the Company's Dividend Distribution Policy,

According to Article 7 of the Capital Markets Board's (CMB) Dividend Guidelines under the General Principles Regarding Dividend Distribution section, the entire amount of dividend to be distributed can only be distributed to the extent that it can be covered from the net distributable profit for the year 2023 available in the legal records (records kept in accordance with the Tax Procedure Law). Since the Company has no distributable net profit for the relevant year, it has been decided not to distribute dividends and to submit this situation to the approval of the shareholders at the ordinary general assembly meeting for the 2023 activity period.
