Pursuant to the resolution of the Board of Directors of our Company dated 2 January 2025, it has been resolved to appoint Mr. Uğur Yüksel to the position of Board Member vacated by Mr. Mehmet Özülkü as of 2 January 2025 in accordance with Article 363 of the Turkish Commercial Code, to be submitted to the approval of the shareholders at the first general assembly meeting, and to appoint Mr. Uğur Yüksel as Vice Chairman of the Board of Directors within the scope of the distribution of duties among the members of the Board of Directors.

Mr. Mehmet Özülkü has resigned from his position as Board Member and will continue to serve as Financial Affairs Director in our Company.

Mr. Uğur Yüksel (CV)

Mr. Uğur Yüksel has more than 30 years of experience in the energy, IT and defence industry sectors. He served as a Project Manager at the Undersecretariat for Defence Industries of the Ministry of National Defence, General Manager at METU Teknokent, where he was involved in the establishment of Turkey's first technopark, Lotus Energy Purchasing and Business Development Director in Turkmenistan, and Secretary General of ELDER Electrical Services Association.

In 2018, Mr. Uğur Yüksel joined Aydem Energy Group, taking on the role of General Manager and Board Member of GDZ Electricity Distribution Company. He also became a Board Member of ADM Electricity Distribution that same year. Mr. Yüksel has been appointed as the General Manager of Aydem Renewables as of 1 January 2025 and has also assumed the position of Vice Chairman of the Board of Directors.
