Pursuant to our Company's Principles Regarding Related Party Transactions, at the beginning of each fiscal year, the anticipated Continuous Related Party Transactions for the relevant fiscal year are subject to the approval of the Board of Directors. A summary of the non-confidential content of the said Board resolution must be disclosed to the public. Additionally, in addition to the Board resolution, if the amount of widespread and continuous transactions between the Company and its related parties within an accounting period is expected to reach or exceed 10% of the cost of sales (for purchase transactions) or 10% of the revenue (for sales transactions) based on the latest annual financial statements, a report must be prepared comparing the terms of the transactions with market conditions, and the conclusion of the relevant report must be disclosed to the public. Turkish transfer pricing legislation and the OECD Guidelines stipulate that transactions between related parties must comply with the arm's length principle. The Company's intra-group transactions, including those exceeding the thresholds specified in the Principles, which involve different functions and risks, are tested using the transfer pricing methods prescribed by Turkish transfer pricing legislation. Detailed information on the transfer pricing methods applied in determining the prices and considerations for these transactions is provided in the relevant sections of the report. Accordingly, with the decision of our Board of Directors dated April 3, 2025 and numbered 2025/06, the conclusion part of the report prepared by our Board of Directors is stated below : In accordance with the Company's Related Party Transactions Policy and Article 10 of the Capital Markets Board's (CMB) Communiqué No. II.17.1 (the "Communiqué"): It is anticipated that the amount of our Company's widespread and continuous electricity sales transactions with Gediz EPS A.Ş. during the accounting period of 01.01.2025 - 31.12.2025 will exceed 3% of the revenue amount in the latest financial statements, as per the Company's policy, and will also exceed 10% under the relevant provision of the Communiqué mentioned above. It is anticipated that the amount of our Company's widespread and continuous electricity sales transactions with Aydem EPS A.Ş. during the accounting period of 01.01.2025 - 31.12.2025 will exceed 3% of the revenue amount in the latest financial statements, as per the Company's policy, and will also exceed 10% under the relevant provision of the Communiqué mentioned above. It is anticipated that the amount of our Company's widespread and continuous joint management service procurement transactions with Aydem Holding A.Ş. during the accounting period of 01.01.2025 - 31.12.2025 will exceed 3% of the cost of sales amount in the latest financial statements, as per the Company's policy. This report provides information on the terms, pricing methods, and justifications for selecting these methods regarding the transactions conducted with the aforementioned related parties in 2025, as well as the compliance of these transactions with market conditions.
