In order to improve our Company's supply sustainability in the fresh fruit and vegetable category, all shares of Bircan Fide Tohum Tarım Nakliyecilik Sanayi ve Ticaret Anonim Şirketi (Bircan Fide), which produces tomato with soilless farming method in geothermal greenhouses in Afyon, were acquired by our Company for 51.3 million TL. Bircan Fide has a closed greenhouse area of ​​100,000 square meters on 700 decares of land. The closing transactions of the shares were completed as of 14/10/2021.


Due to the uncertainty of the Transaction before the completion of the share transfer process, it is likely that the public disclosure of the share transfer transactions before they take place will hinder the completion of the Transaction. Therefore, it has been decided to postpone the public disclosure of the information regarding the process with the decision of the Board of Directors dated 15/09/2021 pursuant to the 1st paragraph of Article 6 of the Communiqué on Material Events Disclosure numbered II-15.1, and the transaction was disclosed to the public following the completion of the closing procedures.

In the event of a contradiction between the Turkish and English versions of this public disclosure, the Turkish version shall prevail.
