oda_ExplanationTextBlock|		Şirketimiz Yönetim Kurulu 29.09.2025 tarihinde; 1. Sermaye Piyasası Kurulunca çıkarılmış olan II-18.1 sayılı Kayıtlı Sermaye Sistemi Tebliği çerçevesinde halka açık şirketlere sağlanan işlem kolaylıklarından faydalanmaya yönelik olarak; Kayıtlı Sermaye Sistemine geçebilmek amacıyla ve kayıtlı sermaye tavanının belirlenmesi ile ilgili olarak Sermaye Piyasası Kurulunun Kayıtlı Sermaye Sistemi Tebliği (II-18.1)'nde yer alan kayıtlı sermaye tavanının ortaklıkların ödenmiş/çıkarılmış sermayesi veya özsermayesinden yüksek olanının beş katını aşamayacağı hükmü dikkate alınarak Şirketin kayıtlı sermaye tavanının "5.000.000.000-TL" (Beş Milyar Türk Lirası) olarak belirlenmesine ve bu kapsamda Şirketimiz Esas Sözleşmesi'nin "Sermaye ve Payların Devri" başlıklı 6. Maddesi'nin ekte yer alan tadil metninde öngörüldüğü şekilde tadil edilmesine ve ekli metnin tadil taslağı olarak kabul edilmesine, 2. Planlanan esas sözleşme tadiline ilişkin gerekli izinlerin alınması amacıyla Sermaye Piyasası Kurulu ile Ticaret Bakanlığı nezdinde gerekli başvuruların yapılmasına, karar vermiştir. İşbu karar kapsamındaki planlanan esas sözleşme tadiline ilişkin, Sermaye Piyasası Kurulu ve Ticaret Bakanlığı'ndan gerekli izin ve onayların alınması kaydıyla bu husus ilk Genel Kurulun onayına sunulacaktır. Açıklamanın İngilizce çevirisinde herhangi bir farklılık olması durumunda Türkçe açıklama esas kabul edilecektir.		Our Company's Board of Directors resolved on September 29, 2025, that; 1. In order to benefit from the procedural conveniences provided to publicly held companies under the Communiqué on the Authorised Capital System (II-18.1) issued by the Capital Markets Board, and for the purpose of transitioning to the Authorised Capital System and determining the registered capital ceiling, it has been resolved to set the Company's registered capital ceiling at "5,000,000,000-TRY" (Five Billion Turkish Lira), taking into consideration the provision set forth in the Communiqué on the Registered Capital System (II-18.1) that the registered capital ceiling may not exceed five times the higher of the company's paid-in/issued capital or equity. Within this scope, it has also been resolved to amend Article 6 of our Articles of Association, titled "Capital and Transfer of Shares," as stipulated in the amendment text attached hereto, and to approve the attached text as the draft amendment, 2. The necessary applications be made to the Capital Markets Board and the Ministry of Trade in order to obtain the required approvals for the planned amendment to the Articles of Association. Subject to obtaining the necessary permissions and approvals from the Capital Markets Board and the Ministry of Trade of the Republic of Türkiye, the planned amendment to the Articles of Association will be submitted to the approval of the next General Assembly. In the event of a contradiction between the Turkish and English versions of this public disclosure, the Turkish version shall prevail.
