Our company Biotrend Çevre ve Enerji Yatırımları A.Ş. (the " Company ") is conducting carbon asset certification (verification and/or validation) processes before Voluntary Emission Reduction certificate provider institutions under VERRA / Verified Carbon Standard (" VCS ") carbon asset certification and International Carbon Registry (" ICR ") carbon asset certification in relation to the projects managed by our Company and its subsidiaries and affiliates as detailed below.

A consultancy agreement dated 07 October 2022 has been executed with respect to the procurement of consultancy services from Mundo Verde Climate SA by our Company for the carbon asset certification processes under VERRA and ICR standards (as applicable) for the subsidiaries and affiliates of our Company that are shown in the table above and sale of carbon assets, of which the certification processes are completed, by way of intermediation of Mundo Verde Climate SA.

As per the relevant agreement, it is agreed that 4,000,000 tCO2e carbon credits to be developed under the VERRA standard, within the scope of the projects of above-mentioned subsidiaries and affiliates of our Company, shall exclusively be sold by way of intermediation of Mundo Verde Climate SA. It is expected, according to the current market conditions, that such 4,000,000 tCO2e carbon credits will create assets amounting approximately to USD 20,000,000 based on an average pricing of USD 5 per tCO2e; our Company will be recording income based on the up-to-date market pricing as at the date of sale. According to the agreement, it is envisaged that minimum USD 5,000,000 income will be earned until 30.12.2022.

In contradiction between the Turkish and English versions of this public disclosure, the Turkish version shall prevail.
