Between our company and our controlling shareholder Doğanlar Yatırım Holding A.Ş., a "Share Transfer Agreement" was signed with the Board of Directors decision dated on 16.11.2022 and numbered 2022/25.  This is related to the purchase of 3,000,000 shares with a nominal value of TL 3,000,000 representing 100% of Doğan Kent Elektrik Enerjisi Toptan Satış Anonim Şirketi, of which 52% of the shares are owned by Doğanlar Yatırım Holding A.Ş.,  and remaining 48% of the shares are owned by Doğanlar Yatırım Holding A.Ş.'s individual stakeholders.

The transaction is the sale and transfer of shares made within the scope of the "Share Transfer Agreement" dated 16.11.2022 and determined by Article 9 titled "Related Party Transactions" of the Corporate Governance Communiqué No. II-17.1 of the Capital Markets Board. It has been determined that it is below the thresholds and therefore, it has been determined that there is no transaction subject to the valuation report and other obligations.

Doğan Kent Elektrik Enerjisi Toptan Satış Anonim Şirketi, which is the subject of the purchase, applied to the Energy Market Regulatory Authority on 26.10.2022 for the 6 Independent Electricity Storage Facility Project, each of which was designed to have an installed power capacity of 50 MWe, making 300 MWe in total , in addition to its current electricity trading activities.

In contradiction between the Turkish and English versions of this public disclosure, the Turkish version shall prevail.
