It has been decided to increase the capital of our Netherlands-based subsidiary Çimsa Building Solutions B.V. ("CBS BV") (formerly Sabancı Building Solutions B.V.) by its General Assembly, primarily to be used for the acquisition of Mannok Holding DAC shares which was announced on 28.08.2024, as well as for its ongoing investments. In today's meeting of our Company's Board of Directors, it was unanimously resolved to participate in the entire capital increase.

H.Ö. Sabancı Holding A.Ş., the holder of the remaining shares in CBS BV, did not participate in the aforementioned capital increase. In determining the capital amount to be increased and the share premium rate, the net asset value of 260,963,000 Euros was taken into consideration, which was determined in the valuation report dated 26.09.2024, prepared by Ernst Young Kurumsal Finansman Danışmanlık A.Ş. in accordance with capital market regulations.

Based on this valuation report;

- CBS BV's existing capital of 187,000,000 Euros has been increased by 107,486,502 Euros with a premium, to 294,486,502 Euros and,

- The capital increase transaction has been completed by paying to CBS BV a total of 150,000,000 Euros, of which 107,486,502 Euros consist of paid-in capital and 42,513,498 Euros consist of share premium.

Following the capital increase, our Company's share in CBS BV capital increased from 50.1% to 68.31%.

In case of a discrepancy between the Turkish and English versions of this public disclosure statement, Turkish version shall prevail.
