Bozlu Holding Chairman of the Board of Directors Şükrü Bozluolçay has stated in a newspaper today, concerning our company's joint venture Eczacıbaşı Monrol, as following;

- They aim for Bozlu Group to increase its share in Eczacıbaşı Monrol to 50%,
- Eczacıbaşı Monrol's aim is to establish a production facility in Europe.

As stated in detail in our company's PDP disclosure dated 18.08.2017, within the scope of the amendment protocol made with Bozlu Group, they undertake to sell the shares corresponding to 9% of Eczacıbaşı-Monrol's capital (with the shareholding ratio of Group B shareholders in Eczacıbaşı-Monrol increasing to 25%) to Group B shareholders within 5 years from the date of registration of the general assembly, 03.11.2017; B Group shareholders undertake to buy the shares corresponding to 9% of Eczacıbaşı-Monrol's capital (with their shareholding ratio in Eczacıbaşı-Monrol increasing to 25%) from the Eczacıbaşı Group within 5 years from the General Assembly Registration Date. Provided that the stock subscription have been fulfilled, Group B shareholders have a Share Call Option to increase their share capital in Eczacıbaşı-Monrol to 50% within 5 years from the date of registration of the General Assembly.

Establishment of a production facility in Europe by Eczacıbaşı Monrol issue is still in assessment phase and there is no conclusive decision on this subject.

In this context, on the subject reflected in the media, there is no development that requires public disclosure within the scope of the Communiqué and the progress in this context shall be assessed within the framework of legal regulations and necessary disclosures shall be made to the public.
