Employee feedback and insights are collected through employee engagement surveys and “Your Voice” pulse surveys, and appropriate improvement targets are incorporated in "organizational success criteria." One of our current Board of Directors members is female (16.67%), and the minimum 25% target for the percentage of female members specified in the principle could not be achieved. Equal opportunity is one of the top priorities for sustainability across the Eczacıbaşı Group. The Company understands that its long-term success depends not only on the increase in the total percentage of women within the organization, but also on their active participation in management processes. Eczacıbaşı Group's “Gender and Equal Opportunity Policy,” which is applicable to all Group companies, has also been approved and accepted by our Company's Board of Directors. Pursuant to this policy, the Company needs to take measures to ensure a balanced gender representation in the governance bodies, to offer women any opportunities to occupy senior management levels of the company and take on decision-making roles, and to carry out development and support activities to facilitate this change. These priorities are also taken into consideration when nominating candidates for the Board of Directors of our Company. Although a target percentage and deadline were set to increase the percentage of women in management levels (the percentage target for the year 2025 is 37.5%), no target percentage or deadline were set specifically for female members in the Board of Directors. We will set a time-specific target to increase the percentage of female Board Members to 25% as a minimum. Equal Opportunities Committee monitors the realization rates of the targets and the areas of improvement in the organization.

As a principle, board members are restricted from taking on other roles in companies outside the Group. Where a board member takes a role outside the Company, such roles are included in our annual report and in the “General Information/Management-Related Information” section of our Public Disclosure Platform (“KAP”) page. Since the Group pays utmost attention to elect those individuals who will, due to the nature of their duties within the Group, contribute to the business and management of our Company, have no obstacles in fulfilling their responsibilities related to board membership, and who can spare enough time for our Company, the Company is not planning to make any regulations in order to limit the board members from taking office outside the Company in the short term.

Some of our Board members serve in more than one committee. Our Company does not directly carry out any industrial manufacturing or service operations, and is a holding company that has subsidiaries. Considering the current activities and the organizational and management structure created based on these activities, the fact that the Board Members take part in more than one committee does not cause them to delay, or fail to spare enough time to, their committee duties. Members serving in more than one committee also facilitate communication and cooperation among committees. Competent individuals with expertise in related fields are appointed to the committees by taking into account the professions, knowledge and experience of the Board Members. Considering the qualifications and expertise required by committee membership, the current structure does not prevent the committees from carrying out their duties effectively, and does not create any negative impact on corporate governance. No change has been planned regarding this issue yet, and increasing the number of independent members of the Board of Directors in line with the Company's needs may be considered in the future.

Our Board of Directors holds an annual meeting to evaluate the Company's activities and results, and the overall performance of the management. However, there is no methodology or written performance evaluation system used for the performance evaluation of the Board of Directors and/or its members. The performance of all Group companies, including our company, is reviewed on a monthly basis. The performance evaluation of the senior management of the Company is also made under the human resources performance evaluation system. Where necessary, provision of services from external specialized organizations for the performance evaluation of the Board of Directors may be evaluated separately.

Payments made to senior managers are disclosed to the public collectively in the footnotes of our financial statements. Our company has a wage confidentiality rule, which is also applied in many other companies across the country. Disclosure of wages on a personal basis, which is considered as a trade secret in terms of competitiveness, will be determined in line with the general practices in our country.
