Within the framework of portfolio management responsibilities inherent to our status as a Real Estate Investment Company (REIC) ; our Company has implemented a series of strategic acquisition and cooperation decisions reached with the Republic of Türkiye Ministry of Environment, Urbanization and Climate Change - Housing Development Administration (TOKİ) as of year-end. These actions aim to support our medium and long-term project development targets, maximize equity efficiency, and ensure sustainable profitability. In this context, firstly, a land portfolio with a total area of approximately 587,000 sqm located in the developing axes of Istanbul, namely the Başakşehir and Tuzla districts, has been incorporated into our Company for a total consideration of TRY 18,020,000,000 (excluding VAT). The acquisition price will be settled with installments, structured to maintain our Company's cash flow equilibrium. Another significant step strengthening our portfolio has been taken in the Zeytinlik Neighborhood of the Bakırköy District, one of Istanbul's most prestigious locations. These properties, covering a total area of approximately 130,000 sqm and widely recognized as the site of our country's first shopping mall, have been acquired with the vision of renewing the existing building stock—which has completed its economic life and poses earthquake risks—and reintegrating it into society in line with modern urban planning principles. The total acquisition price of TRY 15,000,000,000 has been structured in accordance with our Company's financial projections and cash flow planning. Furthermore, in order to enhance financial depth and establish a robust structure based on the principle of risk-sharing, cooperation protocols based on the " Profit and Loss Sharing " (Musharaka) model have been signed with Türkiye Emlak Katılım Bankası A.Ş. To be utilized in the financing of this portfolio expansion, a long-term financing resource amounting to TRY 4,000,000,000 has been secured within our Company's existing credit limits. This utilization has been planned as a strategic component of maintaining our Company's strong liquidity balance. We hereby present this information for the knowledge of our investors and the public. In accordance with the Turkish capital markets regulations, in case of any discrepancy between the Turkish and English versions of disclosures, the Turkish language version which is published on the Public Disclosure Platform (Kamuyu Aydınlatma Platformu) shall prevail.
