It was announced in KAP material event disclosure by our Company on 04.01.2021 that according to the decision of our Company's Board of Directors, Share Transfer Agreement was signed between our Company and Yıldız Holding A.Ş. and Gözde Girişim Sermayesi Yatırım Ortaklığı A.Ş. to purchase (transaction) of all shares of Kümaş Manyezit Sanayi A.Ş. (and its subsidiaries).

At the meeting of the Competition Board dated 14.01.2021, it was decided to allow the transaction and Kümaş Manyezit Sanayi A.Ş. shares will be purchased on the conditions announced to the public in the material event disclosure dated 04.01.2021, after obtaining other relevant legal approvals.

In contradiction between the Turkish and English versions of this public disclosure, the Turkish version shall prevail.
