Ford Otosan, ağır ticari araç faaliyetlerinin devamlılığını teminen Ford Motor Company ve Ford Global Technologies LLC ile "Ford Trucks İş Anlaşması" ve Ford Motor Company ile "Ford Trucks Marka Lisans Anlaşması" (ikisi birlikte, "Anlaşmalar") imzalamıştır.

İlgili Anlaşmalar, taraflar arasında imzalanan 2011 tarihli Global Cargo İş Birliği Anlaşması ve Global Cargo Ticari Marka Lisans Anlaşması'nın yerine geçmek üzere, Ford Motor Company Brazil Ltda.'nın Güney Amerika'daki Sao Bernardo do Compo ağır ticari araç fabrikasının kapanmasının ardından güncel iş koşullarını yansıtmak amacıyla imzalanmıştır.

Bu Anlaşmalar uyarınca Ford Otosan, halihazırda faaliyet gösterdiği pazarlar için 15 metrik tonu aşan Ford markalı ağır kamyonların münhasır üretim ve dağıtım haklarına sahip olmaya devam edecek olup, gelecekte değerlendirilebilecek kimi ilave pazarlar için de ilgili hakları edinmektedir. Ford Otosan ayrıca Ford'dan ürün geliştirme ve üretime yönelik fikri haklar ile Ford ticari markaları için lisans almaktadır.

Söz konusu haklar ve lisansların karşılığı olarak Ford Otosan, Ford Motor Company'ye pazar ücreti, marka lisans ücreti ve fikri mülkiyet ücreti ödeyecektir. Türkiye pazarı için üretilen ürünler yalnızca fikri mülkiyet ücretine tabi olacaktır.

Anlaşmalar 31.12.2038 tarihine kadar geçerli olacak şekilde imzalanmış olup, taraflardan herhangi birinin aksine kararı olmadığı takdirde ikişer yıllık sürelerle yenilenecektir.

İşbu açıklamamızın İngilizce çeviri metinlerinde herhangi bir farklılık olması durumunda, Türkçe açıklama esas kabul edilecektir.

To assure the continuity of its heavy commercial vehicle business, Ford Otosan has signed the "Ford Trucks Business Agreement" with Ford Motor Company and Ford Global Technologies LLC, and the "Ford Trucks Trademark License Agreement" (together, the "Agreements"") with Ford Motor Company.

These Agreements were signed to replace 2011 Global Cargo Cooperation Agreement and the Global Cargo Trademark License Agreement between the parties following closure of Ford Motor Company Brazil Ltda.'s Sao Bernardo do Compo heavy commercial vehicle plant in South America, with the aim to reflect current business conditions.

Under these Agreements, Ford Otosan will continue to have the exclusive manufacturing and distribution rights for the Ford-branded heavy trucks exceeding 15 metric tons for the markets in which it currently operates and will also have these rights for certain additional markets Ford Otosan may evaluate in the future. Ford Otosan also receives a license from Ford for product development and manufacturing intellectual property as well as the Ford trademarks.

In return Ford Otosan will pay Ford Motor Company a market fee, trademark license fee, and intellectual property fee for the granted rights and licenses. Products produced for the Turkish market will be subject only to the intellectual property fee.

The Agreements will have an initial term until 31.12.2038 and will be renewed for two-year periods unless either party decides not to renew it.
