Additional Explanations

Within the scope of Article 20 of the Capital Markets Law No. 6362, Section Three of the Capital Markets Board's "Dividend Communiqué" No. II-19.1 and the relevant provisions of the Capital Markets Board's "Dividend Guidelines"; based on the last paragraph of Article 15 of our Company's Articles of Association, Article 11 of our Company's "Dividend Distribution Policy" and the authorization given to our Board of Directors by our Company's shareholders with the 13th agenda item of the Ordinary General Assembly Meeting held on 29.03.2023;

- "Net Profit for the Period" amounting to TL 805,935,668.00 and "Net Distributable Profit for the Period" amounting to TL 787,117,327.00 were calculated according to the consolidated financial statements for the interim accounting period 01.01.2023-30.09.2023 in accordance with the provisions of CMB's II-14.1 "Communiqué on Principles Regarding Financial Reporting in Capital Markets",

- According to the Legal Accounting Records for the interim accounting period 01.01.2023-30.09.2023, which are kept within the scope of Tax Legislation and according to the Uniform Chart of Accounts published by the Republic of Turkey Ministry of Treasury and Finance; "Net Period Profit" amounting to TL 376,366,820.36 and "Net Distributable Period Profit" amounting to TL 357,548,479.34.

As a result of the discussions, the following was decided unanimously by the participants.

- To distribute "Advance Dividend" in cash amounting to TL 125,000,000.00 ("gross") and TL 112,500,000.00 ("net"), which is 23.15% gross and 20.83% net of the issued capital of our Company, and to commence the distribution of "Advance Dividend" on 29.12.2023 at the latest,

- 2023, in the event of insufficient profit or loss at the end of the accounting period, to submit the issue of offsetting the advance dividend to be distributed from the resources that can be subject to dividend distribution in the annual statement of financial position for the accounting period in question to the approval of the General Assembly of our Company separately.
