In reference to our Company's public disclosure dated July 27, 2023, Galata Wind Energy Global B.V., a wholly owned subsidiary established to coordinate our international renewable energy investments and implement our investment strategies, has taken a new step as part of its ongoing project development activities in Europe.

As part of its targeted countries, the subsidiary has executed a Share Purchase Agreement ("Agreement") yesterday (April 8, 2025) with the sellers for the acquisition of shares in two Italy-based entities — Montescaglioso 1 S.r.l. (Palmori Project) and Ferrandina 14 S.r.l. (Troia Project).

Under the Agreement, the Company aims to acquire the shares of the sellers in exchange for a purchase price subject to certain adjustments as set forth in the Agreement. The completion of the transaction, including the transfer of shares and closing formalities, is contingent upon the fulfillment of the conditions precedent and other closing requirements stipulated in the Agreement.

This project is expected to contribute significantly to the activation of 300 MW capacity outlined in our 2025–2027 international investment vision and to support our strategic goal of becoming a global player in the renewable energy sector.
