SunSpark GmbH, a 100% subsidiary of Galata Wind Energy Global BV, which was established to coordinate renewable energy investments in Europe; has executed a Purchase Agreement ("Agreement") with the Seller today (25.06.2025) in order to secure the acquisition of two solar power plant projects with installed capacities of 9 MW and 12 MW, respectively, located in Germany.

Under the terms of the Agreement, and subject to the satisfaction of the conditions precedent and closing requirements set forth therein, our Company intends to acquire the projects for a purchase price subject to certain adjustments as defined in the Agreement, and to complete the transfer of the projects and associated closing transactions accordingly.

The projects, to commence construction following the completion of permitting processes, are located in southern Germany and will include the development of Agri-PV (Agricultural Solar Power) systems and battery storage units (BESS).

These projects are expected to make a significant contribution toward achieving our international investment target of commissioning 300 MW of installed capacity between 2025 and 2027, aligned with our long-term vision to become a global player in the renewable energy sector. With the completion of these acquisitions mentioned in this statement, the total capacity we aim to reach in Germany will increase to 83 MW, including 43 MW Agri-PV and 40 MW BESS . The above mentioned pipeline capacity is designed to be connected at the same grid point, with the aim of ensuring synergy.
