Global Ports Holding Ltd. ("GPH"), an indirect subsidiary of our Company, has signed a 15-year concession agreement, with an optional 20-year extension, for the operation of the Casablanca Cruise Port, one of Morocco's key ports.
The concession was awarded to a consortium led by GPH, holding a 51% stake, together with local partner STEYA and Spanish partner OIM, following a competitive tender process launched by the Moroccan Port Authority (ANP). Port operations are expected to be taken over at the beginning of 2026.
Casablanca is strategically located on the Atlantic Ocean, along the West Africa and Atlantic routes connecting the Canary Islands, Madeira, Lisbon, Gibraltar, and the Mediterranean. In this regard, it complements GPH's network of major ports such as Barcelona, Lisbon, and Valletta in the Mediterranean, and Las Palmas in the Atlantic, serving as a key link between North Africa and Europe in regional cruise itineraries.
The Casablanca Cruise Port, located approximately 2.5 hours from Morocco's cultural capital Marrakesh, serves as a gateway to the country's most visited destinations. With its modern terminal building and proximity to the city center, the port has strong potential to become a regional hub for both transit and homeport cruise operations.
With GPH's operational expertise and strong global cruise line relationships, a significant increase in passenger traffic is expected in the coming years. In 2025, Casablanca Cruise Port welcomed 103 cruise calls and over 140,000 passengers. This number is expected to exceed 160,000 passengers by the 2027 season, with a target to reach 350,000 passengers in the near term under GPH's management.
Under the terms of the agreement, the GPH-led consortium will make a one-time upfront payment to ANP and perform annual payments throughout the concession period.

Respectfully submitted to the public.
