Our Company has been informed that our indirect subsidiary Global Ports Holding ("GPH")'s joint venture "Global Ports and OPM Sevilla" established with Ocean Platform Marinas ("OPM"), has been selected as the preferred bidder for the 25-year operating concession of the Seville Cruise Port, tendered by the Port Authority of Seville (Autoridad Portuaria de Sevilla) in Seville, Spain.
Should the concession right be obtained, covering a total area of 5,100 square meters, it is planned to develop a modern terminal to serve cruise and megayacht operations. Within this scope, GPH and OPM expect to invest more than €5 million over the first five years of the concession period, of which more than €700,000 is planned to be allocated to improvements at the current cruise terminal and Delicias Wharf in the short term. Through this business alliance, GPH aims to combine its global leadership in cruise port operations with OPM's expertise in the marina sector, with the objective of positioning Seville as a strategic destination for both cruise ships and large yachts.
This investment will cover improvements to berthing areas, enhancements to passenger flow, the provision of specialised services for large yachts, and the development of the necessary infrastructure to support technical maintenance activities. In this way, Seville is planned to be positioned as an attractive homeport and wintering destination for megayacht operators.
Seville holds a unique position within the cruise industry. With its inland location accessible via the Guadalquivir River, the port is well suited for both turnaround and transit operations, particularly for vessels operating on river and sea itineraries. The current annual passenger volume of c.20,000 is expected to increase further in the coming years, supported by GPH's global sales and marketing network and its strong relationships with cruise lines.
The project is stated to be aligned with the Port Authority of Seville's long-term vision to attract high value-added calls, elevate the passenger experience, and establish a cruise port that is well integrated with the urban environment.
Following the obtaining of the concession right and the signing of the related agreement, operations are targeted to commence in the first quarter of 2026. GPH and OPM aim to deliver a modern and fully integrated facility that supports the long-term growth of cruise and megayacht activity in the region, and will begin detailed planning and technical preparations for the start of operations in close coordination with the Port Authority of Seville.

Respectfully submitted to the public.
