At the meeting of our Board of Directors held on August 23, 2019; It was resolved to

- sell all of the share of our subsidiary YÜNSA YÜNLÜ SANAYİ VE TİCARET A.Ş. in our portfolio with a nominal value of TL 16.878.507 and

- authorize Chief Executive Officier Cenk ALPER and Cement Group President Tamer SAKA together to sign share purchase and sale agreements and other necessary documents with the price and conditions they wish, and perform all kinds of necessary operations for that transfer on behalf of HACI ÖMER SABANCI HOLDİNG A.Ş.

In contradiction between the Turkish and English versions of this public disclosure, the Turkish version shall prevail.
