At the meeting of our Board of Directors held on August 23, 2019;

1.687.850.700 shares of YÜNSA YÜNLÜ SANAYİ VE TİCARET A.Ş. with a nominal value of TL 16.878.507.00 in the portfolio of our Company are sold; to sign a share purchase and sale agreement ("Agreement") and additional documents and documents related to the sale of the shares on behalf of HACI ÖMER SABANCI HOLDİNG A.Ş. and perform all kinds of operations necessary for the transfer, Chief Executive Officier Cenk ALPER and Cement Group President Tamer SAKA have been authorized with the price and conditions they wish.

In contradiction between the Turkish and English versions of this public disclosure, the Turkish version shall prevail.
