Dividend Rate Table Explanations
|
At the Board of Directors Meeting of our company dated 13.03.2023 and numbered 9; below decisions have been made by all participants:
According to our consolidated financial statements prepared in accordance with the provisions of the Communiqué Serial: XI No: 29 of the Capital Markets Board, parent share of the net profit for the period of 01.01.2022 - 31.12.2022 realized as TRY 751.243.531, whereas the amount recorded as TRY 438.994.864 in our Provisional Tax Return Financial Statements (VUK) for the same period.
After deducting the provisions of the Turkish Commercial Code, the Capital Markets legislation, the provisions of our company's articles of association and all profit distribution obligations, it was decided to distribute TRY151.000.000 as cash dividends, which is 20.70% of the net distributable profit of TRY 729.620.345.
Since the total amount of the first dividend of TRY151,000,000 to be distributed to the shareholders remains above 5% of the company's paid in capital, a Second Legal Reserve of TRY11,812,150 is set aside in accordance with the provisions of the Turkish Commercial Code and the remaining TRY 566,481,638 profit allocated as Extraordinary Reserves.
The first dividend amount of TRY 151.000.000 which allocated to be distributed to our shareholders in cash to be paid in exchange for the 2022 dividend coupons of our company partners' shares. On this basis, a cash dividend of gross TRY 0,2296 (Net 0,2067) is to be paid for one nominal stock worth TRY 1.00 and the payment will take place until 31 May 2023 at the latest.
To submit all these matters to the approval of our shareholders at our Company's Ordinary General Assembly Meeting for the year 2022.
