Yönetim Kurulumuz tarafından Sermaye Piyasası Kurulu'nun II-17.1. sayılı Kurumsal Yönetim Tebliği'nde yer alan hükümler çerçevesinde:

Şirketimizin Aday Gösterme ve Ücret Komitesi'nin yerine getirdiği görevlerin bundan sonra Kurumsal Yönetim Komitesi tarafından yerine getirilmesine, bu kapsamda Aday Gösterme ve Ücret Komitesi'nin lağvedilerek fonksiyonlarının Kurumsal Yönetim Komitesi'ne aktarılması amacıyla güncellenen Koç Holding A.Ş. Kurumsal Yönetim Komitesi Çalışma Esasları'nın kabul edilmesine;
Denetimden Sorumlu Komite'nin 2 üyeden oluşmasına; başkanlığına Sayın Ahmet Kırman'ın ve üyeliğine Sayın Ömer Önhon'un getirilmesine;
Aday Gösterme ve Ücret Komitesi'nin görevlerini de yerine getirmek üzere Kurumsal Yönetim Komitesi'nin 3 üyeden oluşmasına; başkanlığına Sayın Ömer Önhon'un ve üyeliklere Sayın Yıldırım Ali Koç ve Sayın Polat Şen'in getirilmesine;
Risk Yönetimi Komitesi'nin 2 üyeden oluşmasına; başkanlığına Sayın Peter Martyr'ın ve üyeliğine Sayın Caroline Nicole Koç'un getirilmesine;
Yürütme Komitesi'nin 5 üyeden oluşmasına; Komite'nin kendi üyeleri arasından bir başkan ve yeterli sayıda başkan vekili belirlemesine ve üyeliklerine Sayın Semahat Sevim Arsel, Sayın Mustafa Rahmi Koç, Sayın Mehmet Ömer Koç, Sayın Yıldırım Ali Koç ve Sayın İpek Kıraç'ın getirilmesine

karar verilmiştir.

Kurumsal Yönetim Tebliği uyarınca kurulan komitelerin güncel çalışma esasları internet sitemizde yayımlanmaktadır.

In accordance with the Capital Markets Board's Corporate Governance Communiqué No. II-17.1., the board of directors resolved that:

The duties of the Nomination and Remuneration Committee shall be carried out by the Corporate Governance Committee as of the date hereof, with the Nomination and Remuneration Committee being dissolved, and the Working Principles of Koç Holding A.Ş. Corporate Governance Committee is revised accordingly.
The Audit Committee shall be comprosed of 2 members; Mr. Ahmet Kırman shall be elected as the chair and Mr. Ömer Önhon shall be elected as member.
The Corporate Governance Committee, which will carry out the duties of the Nomination and Remuneration Committee, shall be composed of 3 members; Mr. Ömer Önhon shall be elected as the chair and Mr. Yıldırım Ali Koç and Mr. Polat Şen shall be elected as members.
The Risk Management Committee shall be composed of 2 members; Mr. Peter Martyr shall be elected as the chair and Ms. Caroline Nicole Koç shall be elected as member.
The Executive Committee shall be composed of 5 members; the Committee shall elect a chair and a sufficient number of vice chairs among its members and Ms. Semahat Sevim Arsel, Mr. Mustafa Rahmi Koç, Mr. Ömer Koç, Mr. Yıldırım Ali Koç and Ms. İpek Kıraç shall be elected as members.
