Our 89% subsidiary "Pomega Energy Storage Technologies Joint Stock Company (Pomega)";
The priority call option was granted to Rubellius Nucleus Investments SARL ("Rubellius"), one of our Existing Partners, based on the valuation of USD 600,000,000, with the Capital Participation and Shareholding Agreement signed on 30.11.2022 and Announced to the Public at the same day. Rubellius decided to exercise the right it gained under the contract by acquiring an additional 1% share of its existing partnership.
In this regard, they signed a Capital Participation and Shareholders Agreement with our subsidiary Pomega Enerji Depolama Teknolojileri A.Ş. to increase its total share to 2% through capital increase with emission premium. Based on the contract provision, 6,000,000 USD funds were transferred to Pomega company on 22nd September, 2023.

Closing (capital increase) transactions will be registered and announced to the public.

The relevant sales process will not cause any changes in the agreement announced and signed with İş Yatırım Menkul Değerler A.Ş. on 21.08.2023. It is also announced to the public.

This disclosure is available in English and in case of any discrepancies between the Turkish and English versions of this disclosure, the Turkish version shall prevail.
