oda_ExplanationTextBlock|		07.01.2021 tarihli özel durum açıklamamızda, Şirketimizin stratejik hedefleri doğrultusunda, Şirketimiz ile CarrefourSA Carrefour Sabancı Ticaret Merkezi A.Ş. ("CarrefourSA") arasında, CarrefourSA tarafından işletilmekte olan 34 adet mağazanın, kiracılık hakkının ve kira sözleşmelerinin devri hususunda 07.01.2021 tarihinde sözleşme imzalandığı, devir işlemlerinin Rekabet Kurulu onayı sonrasında geçerlilik kazanacağı, mağaza adedi, mağaza lokasyonları ve devir bedelinin uyarlamaya tabi olduğu açıklanmıştı. Rekabet Kurulu'nun 04.05.2021 tarihli toplantısında; bildirim konusu işlemin etkin rekabetin önemli ölçüde azaltılmasına yol açmayacağı tespit edilmiş olup; CarrefourSA tarafından Adıyaman, Bitlis, Diyarbakır, Elazığ, Erzincan, Hatay, Malatya, Mardin, Şanlıurfa ve Van illerinde işletilmekte olan 34 adet mağazanın (32.048 m2 net satış alanı) kiracılık hakkının ve söz konusu mağazaların tamamının demirbaşları ile birlikte Şirketimize devir edilmesi işlemine izin verilmesine karar verilmiştir. Şirketimiz ve CarrefourSA arasında akdedilen sözleşmede toplam devir bedelinin 26.000.000 TL + KDV olması hususunda anlaşma sağlanmış olup, Şirketimiz tarafından CarrefourSA'ya ödenecek nihai devir bedeli; sözleşme konusu 34 mağazadan sözleşme şartlarına uygun olarak devir ve teslim edilebilecek mağaza adedi üzerinden hesap edilerek, devredilecek mağazalarda iş akdi devrini kabul eden kadrolu personelin kıdem tazminat tutarı ve yıllık brüt izin tutarı mahsubu sonucu belirlenecektir. Teslim edilecek mağaza adedi ve nihai devir bedeli, işlemlerin tamamlanmasını müteakip kamuoyunun bilgisine ayrıca duyurulacaktır. In our public disclosure on 07.01.2021, it was announced that, in line with our Company's strategic targets, an agreement was signed on 07.01.2021 between our Company and CarrefourSA Carrefour Sabancı Ticaret Merkezi A.Ş. ("CarrefourSA") with regard to the transfer of tenancy rights and the lease agreements of 34 stores operated by CarrefourSA. It was also declared that the transaction would be completed after the approval of the Competition Board and the number of stores to be transferred, store locations and transaction value were subject to adjustments. The Competition Board, at its meeting on May 4, 2021, concluded that the notified transaction will not significantly impede effective competition in the relevant markets and cleared the transaction of transferring the tenancy rights and store equipments of 34 stores (with net sales area of 32,048 m2) operated by CarrefourSA in Adıyaman, Bitlis, Diyarbakır, Elazığ, Erzincan, Hatay, Malatya, Mardin, Şanlıurfa and Van to our Company. The total transaction price was set 26,000,000 TL + VAT for 34 stores according to the agreement between our Company and CarrefourSA. The final transaction price will be calculated according to the number of stores that can be transferred as per the terms of the agreement, and will be determined as a result of offsetting the termination benefits and the annual gross vacation amount of the permanent staff who accept the transfer of employment in these relevant stores. The number of stores to be transferred and the final transaction price will be announced following the completion of the transactions. (In case of a discrepancy between the Turkish and the English versions of this disclosure, the Turkish version shall prevail.)
