Şirketimizin 6 Ekim 2022 tarihinde yapmış olduğu Yönetim Kurulu toplantısında, y urtdışında ihraç edilen Paya Dönüştürülebilir Tahvil (Convertible Bond) sahiplerinin 2022 yılı Ağustos ayı içinde Şirketimize ulaşan paya dönüştürme hak kullanım taleplerinin karşılanmasında kullanılmak amacıyla, Sermaye Piyasası Kurulu'nun (SPK) 26.08.2022 tarihli yazılı izinleri kapsamında ;

Merinos Halı Sanayi ve Ticaret A.Ş.'den 5.050.000 TL nominal tutarlı, Dinarsu İmalat ve Ticaret T.A.Ş.'den 812.426 TL nominal tutarlı olmak üzere toplam 5.862.426 TL nominal tutarlı Sasa Polyester ve Sanayi A.Ş. pay senedi alımı yapılmasına,

İşlemlerin SPK'nın işlem fiyatına ilişkin talimatları uyarınca "işlem tarihinden önceki iş gününden başlamak üzere geçmiş 10 iş günü boyunca oluşmuş ağırlıklı ortalama fiyatların ortalamasının en yakın fiyat adımına yuvarlanması suretiyle tespit edilen baz fiyatın %20'altında" hesaplama yöntemi ile belirlenen 54,72 TL'den yapılmasına,

Yapılacak geri alım işlemleri için azami fon tutarının, 21 Ekim 2021 tarihli yönetim kurulu kararı ile belirlenen 500.000.000 TL'lik mevcut geri alım limitinden ayrı olarak, Şirket iç kaynaklarından karşılanmak üzere 320.791.951 TL olarak belirlenmesine,

karar verilmiştir.

In order to be used in meeting the requests of the Convertible Bonds holders who demand to exercise their conversion rights in August 2022, our Board of Directors decided following issues at its meeting dated 6 October 2022 within the scope of the written permission of the Capital Markets Board (CMB) dated 26 August 2022 :

To buy Sasa Polyester ve Sanayi A.Ş. shares with a nominal value of TRY 5,862,426 in total, with a nominal value of TRY 5,050,000 from Merinos Halı Sanayi ve Ticaret A.Ş. and a nominal value of TRY 812,426 from Dinarsu İmalat ve Ticaret T.A.Ş.;

To execute transactions from the price of TRY 54.72 calculated by the method of " 20% below the base price determined by averaging the weighted average prices of the past 10 business days backwards starting from the business day prior to the transaction date, and by rounding the result to the closest price tick" in accordance with the CMB's instructions regarding the transaction price;

To determine the maximum amount of funds reserved for the said buy-back as TRY 320.791.951 to be covered by the company's internal resources, and that this limit is valid for the repurchases to be made within the scope of this resolution regardless of the current buy-back limit of TRY 500,000,000 determined by the Board resolution dated 21 October 2021.
