İlgi açıklamamızda, bağlı ortaklıklarımızdan Toros Tarım Sanayi ve Ticaret A.Ş.'nin (Toros Tarım) hisselerinin tamamına sahip olduğu CFS Petrokimya Sanayi A.Ş. tarafından Toros Tarım'ın Mersin arazisi üzerinde yapılması tasarlanan bir polipropilen üretim tesisi için ön hazırlık ve etüt çalışmalarının başlatıldığı, halen geliştirme ve planlama sürecinde olan tesisle ilgili resmi ÇED sürecinin başladığı, arazinin imar planlarındaki niteliğinin "özel endüstri bölgesi"ne dönüştürülmesine yönelik başvurunun yapıldığı, diğer taraftan, üretim lisansör firması seçimi ile uzun vadeli hammadde temini için çeşitli tedarikçilerle ve ürün satışı için ise çeşitli potansiyel müşterilerle görüşmelerin, yatırıma ortaklık tesisi ve finansal kaynak temini için temas ve görüşmelerin, tesise propan tedariki için yapılması planlanan dolfen ile ilgili olası işbirlikleri konusunda görüşmelerin, pazar araştırmaları gibi yatırımın yapılabilirliğini etkileyebilecek çeşitli konularda çalışmaların ise halen devam ettiği , tüm bu görüşmeler ve çalışmalar çerçevesinde hazırlanacak olan yatırım fizibilitesinin sonuçlarının Yönetim Kurulumuzun değerlendirmesine sunulacağı ve Yönetim Kurulumuzun sunulan fizibiliteyi onaylaması durumunda yatırımın gerçekleştirilmesi konusunda nihai karar alınacağı duyurulmuştur.

İlgi açıklamamızdan bugüne geçen yaklaşık 6 aylık süre zarfında,

· Tesisle ilgili hazırlanan ÇED Raporu için ilgili Bakanlık tarafından ÇED Olumlu kararı verilmiş, arazinin imar planlarındaki niteliği "Özel Endüstri Bölgesi"ne dönüştürülmüş,

· Tesiste kullanılacak üretim lisanslarının teknik değerlendirme çalışmalarına devam edilmiş,

· Yatırım maliyetlerinin tahminine yönelik ön mühendislik çalışmalarına devam edilmiş,

· Tesiste hammadde olarak kullanılacak propan tedariki için temin edilen alternatif teklifler değerlendirilmeye başlanmış,

· Yurtiçi ve yurtdışı pazarlardaki taleplere bağlı olarak tesisin üreteceği optimum ürün desenini belirleme çalışmalarına başlanmış,

· Tesisin ön fizibilite etüdü kapsamında yapım ve işletme dönemi masraflarına ilişkin tahmini hesaplamalara başlanmış,

· Tesisin üreteceği ürünlerin satış ve pazarlanması için uzman firmalarla uzun vadeli alım garanti anlaşmalarına ilişkin teklif toplama ve değerlendirme süreci başlatılmış,

· Yatırımın finansmanının sağlanması için yerli ve uluslararası finansman kuruluşlarının ilgisini celbetmeye yönelik temaslara devam edilmiş,

· Projeye yatırımcı ortak olmak konusunda ilgi gösteren yerli ve yabancı kuruluşlarla temas edilmiştir.

Dünyada birkaç aydır, ülkemizde son iki aydır sürmekte olan Covid-19 pandemisinin işlerde ve ilişkilerde yol açtığı zorunlu yavaşlamaya rağmen projeye yönelik hazırlık ve çalışmalara mümkün olduğunca devam edilmektedir.

In the reference announcement it was stated:

• That CFS Petrokimya Sanayi AŞ, a wholly-owned subsidiary of Tekfen Group company Toros Tarım Sanayi ve Ticaret AŞ (Toros Tarım), had initiated preliminary and associated studies related to a plan to construct a polypropylene production plant on property that belongs to Toros Tarım in Mersin;

• That concerning this plant, which was at the development and planning stage at the time of the announcement, the official environmental impact assessment process had begun, topographic measurements of the proposed site had been completed, and an application had been submitted to have the proposed site's zoning status revised to that of "special industrial zone";

• That other aspects of the project which were also in progress at the time included selection of a firm which possesses a production license and from which such a license may be obtained, discussions with suppliers capable of providing raw materials on a long-term basis, discussions with potential customers looking into the possibility of product sales, contacts and discussions exploring investment partnerships and sources of financing, discussions related to possible collaborations concerning the dolphins that will be used when propane is being delivered to the plant, and market research and other studies looking into issues that might have an impact on investment practicability;

• That a feasibility report setting out the results of all these discussions and studies would be submitted to the Tekfen Holding Board of Directors for its consideration;

• That if the board approved this report, which would not be submitted to the board until and unless all of the aforementioned studies and stages had been completed satisfactorily, a final decision would be made as to whether or not to go ahead with the actual investment.

In the approximately six months that have passed since that announcement was made:

• An EIA report concerning the plant was prepared, was submitted to the ministry concerned, and has been approved by that ministry; the site's zoning status has also been revised to that of "special industrial zone";

• Technical evaluations concerning the selection of the Plant's production licenses were carried out;

• Work has been continuing on preliminary engineering studies in order to estimate investment costs;

• We have received and are now evaluating alternative proposals concerning the procurement of the propane gas that is to be used in the plant as its raw material;

• We have begun determining the optimum product mix of the plant's output in light of anticipated domestic and international market demand;

• We have begun estimating construction and post-construction operational costs based on the plant's preliminary feasibility study;

• We have begun requesting and assessing proposals concerning long-term purchase-guarantee agreements that are to be entered into with specialist firms for the sale and marketing of the plant's output;

• We have been engaging in contacts for the purpose of attracting domestic and/or international financial institutions that might be interested in providing investment financing;

• We have been engaging in contacts with domestic and international firms that might be interested in partnering in this project as investors.

The Covid-19 global pandemic which broke out in late 2019 and which has been impacting on our own country for the last two months unavoidably slows down business activity and interaction. Despite this however, every effort is being made to continue carrying out preliminary work and other activities related to this project.
