By the notification made on 10th of April, 2025, by Can Kültür Sanat Eğitim Kurumları İşletmeciliği A.Ş. ("Can Kültür A.Ş."), it was announced that an agreement had been reached on the same date between Meltem Berker and Nilgün Şebnem Berker regarding the acquisition of 93,367,143 shares representing 25.23% of the share capital of our Company, and that a share transfer agreement had been executed between the parties on the same date. It was further disclosed that this share transfer transaction constitutes a transfer subject to authorization under Law No. 4054 on the Protection of Competition, and that the necessary application would be duly filed with the Competition Authority to obtain the relevant authorization for the said share transfer.

In the intervening period, by the decision of Küçükçekmece 4th Criminal Court dated 10th of September 2025 and numbered 2025/7178 D. İş, the Savings Deposit Insurance Fund (TMSF) was appointed as trustee  for numerous companies, including Can Kültür A.Ş.

According to the notification made to our Company by the Board of Directors of Can Kültür A.Ş., appointed by the TMSF Board of the Fund, following the approval of the aforementioned application by the Competition Authority, the share transfer transaction representing 25.23% of the Company's share capital was completed between the parties, whereby the shareholding of Can Kültür A.Ş. in the Company increased from 17.56% to 42.796% and to 158.345.113,57 shares in total.
