The following statement has been deemed appropriate regarding the allegations about our Bank that have been circulating on various social media platforms:

Founder's Shares as regulated in Article 22 of our Bank's Articles of Association do not legally represent any share in capital, do not grant their holders shareholder rights such as participation or voting rights in the General Assembly, and only provide financial benefits.

During the Extraordinary General Assembly held on 31 Mat 1991 the shareholders of that period resolved to increase the capital. In compliance with legal regulations and High Court precedents, Article 58 of our Articles of Association was amended, limiting the dividend payments to holders of Founder's Shares to "the portion of paid-in capital amounting to 250,000 TL." Since that date, all profit distributions have been made in accordance with this registered amendment, under the knowledge and supervision of the legally authorized regulatory bodies overseeing our Bank.

As is well known, in line with the will of the Great Atatürk who is also the founder of our Bank, the full dividend attributable to Atatürk's shares is duly and timely paid by our Bank to the Turkish Language Association (TDK) and the Turkish Historical Society (TTK). All operations of our Bank throughout this process have been conducted under the knowledge and supervision of the relevant authorities. Regarding lawsuits filed against our Bank concerning dividend payments on founder's profit-sharing certificates, all rulings issued to date have been in favor of our Bank, and we await the completion of the remaining legal proceedings.

In this context, we inform the public that: The false, speculative, and misleading claims recently published on social media platforms—which target our Bank's reputation and aim to influence investors' decisions—also constitute offenses under capital markets and banking regulations. No credence should be given to such baseless allegations. Our Bank will take legal action against all parties involved in disseminating or spreading such false or misleading information.
