In the context of increasing the registered capital ceiling of our Company and extending its validity period, following the receipt of necessary approvals from the Insurance and Private Pension Regulation and Supervision Agency, the Capital Markets Board, and the Ministry of Commerce of the Republic of Türkiye, it has been resolved to increase the registered capital ceiling of our Company from 5,000,000,000 TL to 50,000,000,000 TL to be valid for the period between 2025 and 2029.
The proposal to amend Article 7 of our Articles of Association, titled "Capital and Share Certificates," in line with the increase in the registered capital ceiling, as detailed under the heading "New Text" in the annex, was submitted to the Board of Directors. Additionally, the Board has resolved to authorize the General Directorate to carry out all necessary actions, including making applications to the relevant authorities, particularly the Capital Markets Board.
The aforementioned matters will be submitted for the approval of shareholders at the ordinary general assembly meeting.
