It was decided in the Board of Directors Meeting of our Company on March 29, 2021 to merge with Çayırova Cam Sanayii A.Ş. through acquisition of all assets and liabilities of Çayırova Cam Sanayii A.Ş. by our Company in full, pursuant to Capital Markets Law Number 6362, Capital Market Board's Communiqué Number Seri:II, N 23.3 on Common Principles Applicable to Important Category Transactions and the Right to Exit, Capital Market Board's Communiqué Number Seri:II, N 23.2 on Mergers and Spin-offs, Turkish Commercial Code number 6102, Corporate Tax Law number 5520 and other applicable legislation.

As per the relevant legislation, the Merger Agreement and Announcement Text has been prepared and signed; and the Announcement Text was submitted to CMB on 18.05.2021 in order to get it approved.

Further developments in this regard, will be announced with a public disclosure in accordance with the relevant legislation.
