Reference: VakıfBank Public Disclosures Dated 14.10.2022 and 27.10.2022

It was announced with the referred disclosure that  the issue limit application by our Bank for Basel-III compliant  subordinated notes (Tier 2) securities to be sold domestically to qualified investors up to 3 billion Turkish Lira nominal, was approved by the Capital Markets Board of Turkey (CMB), and the related Issuance Certificate and its attachment was made public. In this context, to issuance of subordinated notes (Tier II) TL 1,750,000,000 and TL 1,250,000,000 nominal amount was completed on October 27, 2022.

An application was made to the Banking Regulation and Supervision Agency (BRSA) for the inclusion of relevant debt  securities to the Tier 2 capital calculation of our Bank.

In reply to the relevant application, BRSA  approved, with the condition of submitting the final terms and conditions of the debt securities and the Board Statement of our Bank indicating that the related debt securities possess the features to be included  in Basel-III compliant Tier 2 capital calculation by our Bank, that the funding  to be raised would be apropriate to be included in Tier 2 capital calculation as of the settlement date of the issuance. The relevant documents have been submitted to the BRSA.

According to CMB legislation, in case of a contradiction between the Turkish and English versions of this public disclosure , the Turkish version shall prevail.
