oda_ExplanationTextBlock|		Zorlu Enerji Grubu'nun ("Şirket ve bağlı ortaklıkları") stratejik hedefleri doğrultusunda, Şirketimiz ile yurt dışı yatırım bankaları arasında 1.100.000.000 Amerikan Dolarına (birmilyaryüzmilyonAmerikanDoları) kadar yurt dışı kaynaklı sürdürülebilir finansman sağlamak amacıyla görüşmelere başlanmış olup, 4 Eylül 2024 tarihinde (bugün) yurtdışı borçlanma aracı ihracı için Sermaye Piyasası Kurulu'na ("SPK") başvuruda bulunulmuştur. Söz konusu finansmanla, Şirket'in ve bağlı ortaklıklarının mevcut finansal borç ödeme vadelerinin esnetilmesi, bu sayede Şirket ve bağlı ortaklıklarının finansal yapılarının güçlendirilmesi hedeflenmektedir. Bu çerçevede, Şirketimiz bağlı ortaklıklarından Zorlu Yenilenebilir Enerji A.Ş. ("Zorlu Yenilenebilir") ve bağlı ortaklıklarına ait mevcut finansal borçların Şirket'in yurtdışı finansman kaynağından elde edeceği tutarla kapatılması, Zorlu Yenilenebilir'in konsolide finansal tablo kalemlerinde önemli ölçüde değişikliğe sebep olacağından, SPK nezdinde incelemesi devam eden Zorlu Yenilenebilir'in bir kısım paylarının halka arzına ilişkin 22 Şubat 2024 tarihli İzahname onay başvurumuzun, yurt dışı kaynaklı sürdürülebilir finansmanın elde edilmesinden sonraki bir tarihe ertelenmesi amacıyla SPK'ya, 4 Eylül 2024 tarihinde (bugün) başvuru yapılmıştır. İşbu açıklamamızın İngilizce çevirisi ekte yer almakta olup, açıklama metinlerinde herhangi bir farklılık olması durumunda, Türkçe açıklama esas kabul edilecektir.		In line with the strategic goals of Zorlu Energy Group ("the Company and its subsidiaries"), negotiations have been initiated between our Company and foreign investment banks in order to provide sustainable financing from abroad up to USD 1,100,000,000 (one billion one hundred million US Dollars) and an application has been made to the Capital Markets Board ("CMB") for the issuance of foreign debt instruments on September 4, 2024 (today). By this financing, it is aimed to extend the existing financial debt payment terms of the Company and its subsidiaries, thus strengthening the financial structures of the Company and its subsidiaries. In this context, the repayment of the existing financial debts of Zorlu Yenilenebilir Enerji A.Ş ("Zorlu Yenilenebilir"), a wholly-owned subsidiary of our Company, and its subsidiaries using the funds obtained from this international financing will lead to significant changes in the consolidated financial statements of Zorlu Yenilenebilir. Consequently, we have applied to the CMB on September 4, 2024, to postpone the approval process of the Prospectus for the public offering of some of Zorlu Yenilenebilir's shares, which was initially scheduled for February 22, 2024. The postponement will take place until after the acquisition of the international sustainable financing. This statement has been translated into English for informational purposes. In case of a discrepancy between the Turkish and the English versions of this disclosure statement, the Turkish version shall prevail.
