Pursuant to Article 10 of the Capital Markets Board's Corporate Governance Communiqué No. II-17.1, the conclusions of the report prepared for the purpose of reviewing the transactions that are common and continuous in nature carried out with related parties in 2024 and evaluating the appropriateness of similar common and continuous transactions to be carried out in 2025 are presented below.

Conclusion Section of the Report on Related Party Transactions:

Within the scope of the Capital Markets Board's Corporate Governance Communiqué No. II-17.1, which was published in the Official Gazette dated January 3, 2014 and numbered 28871 and entered into force, and pursuant to Article 10 titled "Common and Continuous Transactions," within the framework of the 2025 financial planning of Zorlu Enerji Elektrik Üretim AŞ ("Zorlu Enerji");

It is anticipated that the ratio of the service sales revenues to arise from the distribution system usage, payment notification and notice delivery services planned to be provided in 2025 by Osmangazi Elektrik Dağıtım AŞ, whose sole shareholder is Zorlu Osmangazi Enerji Sanayi ve Ticaret AŞ, a wholly owned subsidiary of Zorlu Enerji, to Osmangazi Elektrik Perakende Satış AŞ, which is also wholly owned by Zorlu Osmangazi Enerji Sanayi ve Ticaret AŞ, to the revenue amount included in Zorlu Enerji's most recently publicly disclosed annual consolidated financial statements is expected to exceed 10%.

The aforementioned services are carried out in accordance with the procedures and principles determined by the Energy Market Regulatory Authority ("EMRA"), and the service sales revenues to arise from the distribution system usage, payment notification and notice delivery services are determined in accordance with the decisions of the Board and market conditions pursuant to EMRA legislation.
