Sandvika, 16 October 2025 (OSE: NORCO): Reference is made to the stock exchange
announcement dated 6 August 2025 regarding the completed acquisition of the Aas
-Jakobsen Group by Norconsult ASA ("Norconsult"). Following the acquisition,
employees from the Aas-Jakobsen Group were invited to participate in the
existing Norconsult employee share program for 2025 ("Employee Share Program")
As part of the program, 185 employees from the Aas-Jakobsen Group purchased a
total of 85 092 shares. This includes 39 144 matching shares. Norconsult is
pleased to report a high level of engagement, with 84% of eligible Aas-Jakobsen
employees choosing to become shareholders. This strong participation reflects
the employees' commitment.
The transaction follows the framework of Norconsult's existing employee share
programs, which includes discounted shares and matching shares, and is in line
with previously communicated parameters.
For discounted shares, the purchase price is equal to the volume-weighted
average share price for the Norconsult's shares on the Oslo Stock Exchange
during the last ten trading days prior to, and including, the last day of the
subscription period, 15 October 2025, with a discount of 20%.
For matching shares, the purchase price is equal to the volume-weighted average
share price for the Norconsult's shares on the Oslo Stock Exchange during the
last ten trading days prior to, and including, the last day of the subscription
period, 15 October 2025.
The shares were acquired from Norconsult's holding of own shares. After the
transactions the company holds 7 248 072 shares.
