The share information contained herein reflects the effect of the Reverse Stock Split.  Urban Partners II, LLC (&quot;Urban Partners II&quot;) transferred 783,614 shares of common stock on September 17, 2019 to a member (the &quot;Redeeming Party&quot;) of CIM Urban REIT, LLC (&quot;CIM Urban REIT&quot;), a member of Urban Partners II, in exchange for the assignment by the Redeeming Party of all of its equity interests in CIM Urban REIT to, and the subsequent cancellation of such equity interests by, CIM Urban REIT.  Such distributed common stock reflected the Redeeming Party's pro rata ownership interests in the common stock held by Urban Partners II.</footnote>
