Re: The Phoenix Investments House (Subsidiary) Asset Transaction with Psagot Group - all the conditions have been fulfilled and the transaction will be completed on March 21, 2024 Pursuant to the Company's immediate report of December 20, 2023 (reference number: 2024-01-138141) regarding the signing of agreements, inter alia, for the acquisition of the active funds activities managed by Psagot Mutual Funds Ltd. ("Funds Transaction") and 100% of the shares of Psagot Compass Investments Ltd. ("Compass Transaction", and together with the Funds Transaction – the "Transactions"), by Phoenix Investment House Ltd. and Kesem Mutual Funds Ltd., indirectly owned subsidiaries of the Company, as well as to the Company's immediate report dated February 28, 2024 (reference number: 2024-01-020745) regarding receipt of the approval of the Competition Commissioner for the Transactions, the Company announce that on March 12, 2024 all the conditions for the Fund Transaction have been fulfilled. Accordingly, a completion protocol has been signed and the transactions will be completed on March 21, 2024.
