Reference is made to our announcements dated 6 December 2024 and 11 September 2025.
Unless otherwise defined herein, all terms used herein shall have the same meanings as ascribed in the SPA.
The Board of CCB wishes to announce that: -
(a) pursuant to the terms and conditions of the SPA, the Unconditional Date of the SPA shall be 27 October 2025 as confirmed in writing by the Purchaser’s Solicitors on 29 October 2025 in accordance with Clause 3.2.3(d) of the SPA; and
(b) pursuant to Clause 4.1.2 of the SPA, the Purchase Price is adjusted and reduced from RM120,061,980.00 to RM119,957,250.00 due to the reduction in the area of Land by taking into account the difference in the area of the Land as stated in the Amalgamated Title (74,296 square metres/approximately 799,715 square feet) and the Provisional Area (800,413.2 square feet), calculated at the Agreed Rate. The Final Adjustment Sum is RM104,730.00 calculated at the Agreed Rate of RM150.00 per square foot for the reduced area of 698.2 square feet. Pursuant thereto, the Final Adjustment Sum is reflected and taken effect in the re-calculation of the Balance Purchase Price from RM108,055,782.00 to RM107,951,052.00; there being no adjustment to the Deposit which would have been already paid by the Purchaser to PID.
